Simple seller listing agreement for confidential business sale representation.

Commission:
9% of Total Transaction Value

Minimum success fee: $25,000 unless otherwise agreed in writing.

  1. Exclusive Representation. Seller appoints 909Brokers as the exclusive broker to market, introduce buyers, coordinate buyer inquiries, and assist in the sale of the business identified below, including assets, fixtures, equipment, goodwill, trade names, inventory, intellectual property, customer relationships, contracts, and any related business interests offered for sale.
  2. Success Fee. If a transaction closes during the term of this agreement, Seller agrees to pay 909Brokers a success fee equal to 9% of Total Transaction Value, with a minimum fee of $25,000 unless another written fee is agreed in advance.
  3. Total Transaction Value. Total Transaction Value includes cash at closing, seller notes, earnouts, assumed debt or liabilities, consulting or employment arrangements tied to the transaction, equity, securities, retained ownership value, real estate transferred with the business, inventory, equipment, and any other consideration received by Seller or Seller’s affiliates.
  4. Term. The initial listing term is 180 days. After the initial term, the agreement continues month-to-month unless terminated by either party with 15 days written notice.
  5. Protection Period. If Seller completes a transaction within 24 months after termination with a buyer, investor, lender, affiliate, or related party introduced by 909Brokers or any cooperating broker during the listing period, the success fee remains due at closing.
  6. Seller Cooperation. Seller agrees to provide accurate information, respond to reasonable buyer and broker inquiries, promptly disclose offers or buyer communications, and refer buyer inquiries to 909Brokers during the listing term.
  7. Confidentiality. 909Brokers will use reasonable efforts to preserve confidentiality and may require buyers to sign an NDA and provide qualification information before receiving identifying or detailed confidential business information.
  8. No Guarantee. 909Brokers does not guarantee a sale, a particular price, financing approval, buyer performance, diligence outcome, or closing date. Seller remains responsible for validating legal, tax, accounting, operational, and transaction advice with professional advisors.
  9. Authority. The person signing confirms authority to act for the business owner or selling entity and to authorize marketing, buyer conversations, and transaction support.
  10. Entire Agreement. This simple online agreement records the core listing terms. Any customized schedule, exhibit, or written addendum signed by both parties will control if there is a conflict.
